Anderson Independent Youth Soccer Association (AIYSA) was formed in 1981 with the mission of providing a safe and fun environment to teach the local Kentucky youth how to play and love “The Beautiful Game.”

AIYSA Constitution

Constitution of the

Anderson Independent Youth Soccer Association

 

Article I – NAME

 

The name of this organization shall be Anderson Independent Youth Soccer Association, Inc. (hereinafter called AIYSA).

 

Article II – PURPOSE

 

Section 1 – Purpose

 

The purpose of AIYSA shall be:

 

  1. To promote the growth and an appreciation for the game of soccer by providing opportunities for the citizens of Anderson County to learn the Law of the Game and participate in organized programs of soccer; and

  2. To organize and promote youth soccer organizations, clubs, and leagues for youth up to and including nineteen years of age, and to encourage good sportsmanship and fair play of all participants therein.

 

Section 2 – Achievement of Purpose

 

AIYSA achieves its purpose by:

 

  1. Encouraging and promoting the development of leagues, clubs and programs so that soccer is made available to youth in all levels of competition;

  2. Encouraging and promoting the development and practice of good sportsmanship;

  3. Encouraging. Promoting and developing the principles of fair play;

  4. Encouraging and promoting the growth of soccer; and

  5. Instructing, training and educating players, coaches, and referees to develop and improve their capabilities.

 

Section 2 – Charitable and Educational Purpose

 

The corporation is organized exclusively for charitable and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501 (c)D (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

 

Article III – OFFICERS AND BOARD of DIRECTORS

 

Section 1 – Organization

 

The procedures of this organization shall follow Roberts Rules of Order. 

 

Section 2 – Policy Making and Executive Functions

 

The policy making and executive functions of AIYSA shall be vested in the Officers and the Board of Directors (hereinafter called the Board).

 

The Board shall have the following powers:

 

  1. To ratify, alter or reject decisions and policies of any committee or board members;

  2. To institute and operate cup competitions;

  3. To arrange and stage soccer games of any nature whatsoever in its own name, and to that end, in may marshal the support of any or every member and/or its or their subordinate affiliated teams and personnel;

  4. To create and manage or to create and to delegate the management under its direction to others of any organization whatsoever which it may deem expedient for the welfare of the game of soccer in the territory over which AIYSA has jurisdiction;

  5. To suspend, expel and/or impose fines or penalties upon any team and/or person under its jurisdiction guilty of violation or breach of the AIYSA Constitution, By Laws, State Rules, or any rules, policies or regulations of the Association with which AIYSA is affiliated;

  6. To settle disputes between two or more members of AIYSA;

  7. To hear all cases of misconduct of players, officials and/or person affiliated with AIYSA when two (2) or more teams are concerned, or when it has direct jurisdiction, or when the alleged offense in any case is an assault upon any official and after such hearing if such person or persons are found guilt, to impose such fine and/or penalty as it may deem proper.  

  8. To enforce the purpose for which AIYSA was organized;

  9. To contract for such services and facilities as shall be necessary for the operation of AIYSA business’

  10. To authorize the expenditure of funds for purpose in keeping with the needs of AIYSA;

  11. To render final decisions on all matters of controversy subject, nevertheless, to appeals and to decisions of the Association with which AIYSA is affiliated; and

  12. To Audit books and accounts of the Treasurer when deemed necessary.

 

Section 3 – Membership

 

The members of this Association shall consist of all AIYSA registered participants in the youth soccer program including their families and other volunteers as recognized by the Board that want to participate in the welfare and function of this organization. 

 

The Board shall consist of Officers; the President (Chairman), the Vice President (Vice Chairman), the Secretary, the Treasurer, Referee and Scheduling Coordinator, League Coordinator – all ages, Field Maintenance Director, Assistant Field Director, Equipment Coordinator, Concessions Coordinator, Registrar, Member At Large, and President Consultant.

 

Section 4 – Meetings

 

  1. Regular, open meetings of the Board shall be called upon with reasonable notice by the any Board member at least once each calendar quarter, unless called upon by the Board to close the meeting;

  2. Meetings for special purpose of the Board shall be called upon reasonable notice by any Board member with reasonable notice (minimum 3 days). Who ever calls for a special meeting will notify all Board members, state the purpose and make arrangements for the meeting; and

  3. Three unexcused, consecutive absences constitute a board members resignation automatically.  The Board will recognize this automatic recognition upon that third absence immediately.

 

Section 5 – Quorum and Voting Requirements

 

A.   A quorum, consisting of seven (7) voting members or the majority of the Board at that time, must be present at the meeting in order to conduct business;

B.    A Board member shall have one (1) vote.  The presiding officer shall vote only in the event of a tie vote to break the said tie;

C.    The vote of the majority of those board members present and voting shall be required for any action of the Board, unless otherwise provided;

D.   Electronic voting may be conducted when deemed necessary due to time restrictions on the voting subject.  As with any other vote, a motion will need to be made, seconded and voted on by all members.  Votes will only be accepted during the forty-eight (48) hour time period after the motion has been seconded.  All votes made after this time frame will be null and void.  The majority vote received in the allotted time will rule and the outcome of any vote will be documented and maintained by the Secretary.  Each electronic vote will be then ratified at the next Board meeting; and

 

 

ARTICLE IV – RESPONSIBILITIES AND DUTIES

 

Section 1 – President

 

  1. To preside at all Board meeting as Chairman;

  2. To co-sign money disbursements made in the name of AIYSA;

  3. To appoint, subject to ratification of the Board, Chairpersons of all Committees, except where otherwise provided;

  4. To enter into lease agreements with the County as agreed upon by a majority vote of the Board;

  5. To perform and facilitate all other duties as shall be necessary to promote the welfare and function of AIYSA; and

  6. To represent, or appoint persons to represent, the Association in meetings with other soccer associations. 

 

 

Section 2 – Vice President

 

  1. To serve as Vice Chairman of the Organization;

  2. To assume the duties of the President in the case of the resignation of the President until the next Annual General Meeting following said resignation or during a temporary absence; or during the Inability of the President to perform the functions of that office;

  3. To be responsible for arranging and coordinating any general meetings, workshops or contract for such services (i.e. Photographers, Trophies/Awards/Patches/Medals) shall be necessary for the operation of AIYSA business;

  4. To oversee the election process during the Annual General Meeting; and

  5. To oversee Risk Management.

 

 

Section 3 – Secretary

 

  1. To be responsible for the storage and maintenance of records for AIYSA;

  2. To record minutes of Board meetings and distribute the minutes in a timely fashion prior to the next board meeting to all Board members;

  3. To record, manage and update any submitted, proposed, passed, vetoed amendments to the Constitution, By Laws or any other rules, policies or regulations pertaining to AIYSA;

  4. To be responsible for informing members of meetings, handling correspondence of AIYSA, and carrying out such other duties as shall be delegated;

  5. To be responsible for advertisements and information distribution for AIYSA sponsored events via the local newspaper, mailings, posters or electronically;

  6. To be responsible for obtaining and maintaining proper background checks on all Board members, Coaches, Assistant Coaches, Team Managers, and any other volunteer with AIYSA per season;

  7. To act as the Media Coordinator for AIYSA and its affiliates; and

  8. To maintain a record of Board members service time with AIYSA. 

 

 

Section 4- Treasurer

 

  1. To receive all monies of AIYSA and it’s affiliates, keep accurate records of receipts and disbursements, pay out funds as authorized by the Board, and co-sign money disbursements made in the name of AIYSA;

  2. To present a statement of account at every meeting of AIYSA or the Board and at other times when requested by the Board, make a full report at the Annual General Meeting and conduct Audits as necessary or requested by the Board; and

  3. To keep records of scholarship recipients and other accounts pertaining to the organization.

  4. To gather information for each season’s affiliation package and see to it that it is accurate and received by KYSA in a timely manner. 

 

 

 

Section 5 – Referee and Scheduling Coordinator

 

  1. To be responsible for the recruiting, training, development and scheduling of referees for AIYSA;

  2. To be responsible for all complaints pertaining to referees and disseminate the information to the Board; and

  3. To process any red card violations to the appropriate associations involved.

  4. To assess referee performances and oversee a mentoring program for the inexperienced referees.

  5. To be responsible for scheduling games and game fields for all Recreational games in the U6 and U8 Leagues;

  6. To coordinate field usage between AIYSA and it’s affiliates; 

  7. To be the Liaison between U10 and above Coaches and CKSL, including being present for each season’s CKSL meeting to assist the Coaches;

  8. To coordinate practice field usage with the Leagues Coordinators and  

  9. To produce, publish and maintain a master game schedule.

 

 

Section 6 – League Coordinator – all ages

 

  1. To be responsible for coordinating, recruiting, training and development of coaches;

  2. To coordinate practice times for all teams playing;

  3. To coordinate any rescheduled games with the Scheduling Coordinator and Field Maintenance Coordinator; and

  4. To maintain communications with all Coaches, including the Coaches meetings, and be the Liaison for the Coaches in relaying information between the Board and the Coaches.

 

 

Section 7 – Field Maintenance Director

 

  1. To be responsible for keeping prescribed dimensions in laying out fields for appropriate age groups;

  2. To cut or contract out the cutting of grass and re-seed as needed;

  3. Te reline/repaint the fields as needed at all locations used by AIYSA;

  4. To keep the garbage/trash picked up in and around the playing areas throughout the season, including arranging garbage disposal with the local waste management company;

  5. To inform and recommend the Board on rotation of field use; and

  6. To coordinate field days; including the recruitment of parents and coaches for those assigned field days.

 

 

Section 8 – Assistant Field Maintenance Director

 

  1. To assist the Field Maintenance Director in keeping prescribed dimensions in laying out fields for appropriate age groups;

  2. To assist the Field Maintenance Director in cutting or contracting out the cutting of grass and re-seed as needed;

  3. To assist the Field Maintenance Director in relining/repainting the fields as needed at all locations used by AIYSA;

  4. To assist in keeping the garbage/trash picked up in and around the playing areas throughout the season;

  5. To inform and recommend the Board on rotation of field use; and

  6. To assist in the coordination of field days, including the recruitment of parents and coaches for those assigned field days.

 

 

Section 9 – Equipment Coordinator

 

  1. To be responsible for obtaining prices of uniforms for Board’s review and approval;

  2. To purchase suitable uniforms and insure proper disbursal of the uniforms to the designated teams;

  3. To purchase goals, nets, flags, game balls and any other materials needed for the maintenance of the fields such as paint, string, measuring tape, spikes and stakes;

  4. To keep storage and maintenance of all AIYSA equipment; and

  5. To maintain the First Aid kits.

 

 

Section 10 – Concessions Coordinator

 

  1. To be responsible for stocking concessions and the coordination of workers;

  2. To keep receipts, report deposit of any proceeds to the Board; and

  3. To maintain and report a record of stock (used and unused) of the concession stand.

 

 

 

Section 11 – Registrar

 

  1. To be responsible for recording and maintaining all registration forms for all players in AIYSA and to submit official club rosters to the state governing body, KYSA, Kentucky Youth Soccer Association as needed;

  2. To provide an official team roster for any coach who wants to participate in tournaments with Board approval;

  3. To provide logistical information to the Equipment Coordinator for uniform ordering;

  4. To maintain and provide historical data for logistical purposes of the Board;

  5. To oversee pre-season registration process; and

  6. To provide final approval for all late registrants that fall outside the normal registration window.

  7. To maintain a register of the mailing addresses, email addresses and phone numbers of each Board member;

  8. To coordinate the team selection process; and

  9. To provide each Board member a copy of each teams’ roster.

 

 

Section 12 – Member at Large

 

  1. To be responsible for soliciting sponsors and collecting donations for auxiliary expenses such as scholarships, field maintenance and AIYSA equipment.

  2. To keep record of all sponsors and ensure recognition for these sponsors;

  3. To help in publicity; and

  4. To perform such other duties as may be delegated by the Board.

 

 

Section 13 –President Consultant

 

  1. To serve as advisor for the current President during the following season of the election year;

  2. To assist the President in his/her duties as may be defined by the Board; 

  3. To perform such other duties as may be helpful to the Board; and

  4. To participate in Board meetings as a non-voting member of the Board at his/her discretion or by the discretion of the Board.

 

 

ARTICLE V – BOUNDARIES & TERRITORIES

 

Section 1 – Territory

 

The territory of AIYSA shall be Anderson County

 

ARTICLE VI – MEETINGS

 

Section 1 – Annual General Meeting

 

At the end of the spring season, the President, with concurrence of the Board, shall call for an Annual General Meeting of the Membership.

 

Any adult member (eighteen (18) and over) of this association in attendance at this Annual General Meeting shall be entitled to have one (1) vote by ballot in the Election for each available positions for Officers or Directors in the upcoming terms of office.  Terms and Qualifications are described in the By Laws VI, Section 2. 

 

ARTICLE VII – AMENDMENTS

 

Section 1 – Amendments to the Constitution

 

  1. The Board may propose with two-thirds (2/3) of those Board members present and voting approval, amendments to the Constitution.  Such a recommendation change to the Constitution will be voted on by the Board at the next meeting. 

  2. The Constitution may be amended by the vote of two-thirds (2/3) of the full Board. 

 

Section 2 – Amendments to the By Laws

 

  1. Amendments to the By Laws shall be acted upon by the Board;

  2. Two-thirds of the members of the Board shall constitute a quorum for purposes of considering amendments to the By Laws; and

  3. Two-thirds of the members of the Board present and voting shall be required to enact amendments to the By Laws;

  4. Any and all amendments to the By Laws adopted by the Board shall become effective immediately or as shall be stated.

 

ARTICLE VIII – DISSOLUTION

 

Upon the dissolution of the corporation, the Board shall, after paying or making provision for the payment for all the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operate exclusively for charitable, education, religious or scientific purposes as shall at the time qualify as and exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board shall determine.  Any such assets not so disposed of shall be disposed of by the Circuit Court of the County in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

AIYSA By-Laws

Bylaws of the

Anderson Independent Youth Soccer Association

 

BYLAW I – AFFILIATION

 

Section 1 – Association Affiliation

 

The Anderson Independent Youth Soccer Association (AIYSA) shall be affiliated with the Kentucky Youth Soccer Association (KYSA) and through such affiliation shall be affiliated with the United States Youth Soccer Association (USYSA) and through such affiliation shall be affiliated with the United States Soccer Federation (USSF).

 

Section 2 – Player Affiliation

 

Players, near the territorial limits of AIYSA, may be given permission to be affiliated with other recognized Associations as outlined in USSF Rule 21 01b (3).

 

Section 3 - Unaffiliated Organizations

 

All non-member teams, clubs or leagues, within the territorial jurisdiction of AIYSA, shall be deemed as an “unaffiliated Organization”.  Any registered Team or Affiliated Organization playing games or “doing business” with an Unaffiliated Organization, without written consent of the Board shall face disciplinary action and/or suspension by AIYSA Board.

 

BYLAW II PROTEST AND APPEALS

 

Section 1 – Remedies

 

In the matter of protests and appeals, no person(s) associated with the operations of AIYSA at any level (team, league, organization, district, state) may invoke the aid of the courts of any state of the United States without first exhausting all available remedies within AIYSA/KYSA/USYSA/USSF, including a final appeal to the USSF Council at the Annual General Meeting.

 

BYLAW III – FINANCIAL RESPONSIBILITY

 

Section 1 – Nonassumption of Debts

 

AIYSA shall not assume, nor be liable for, the debts and/or the financial responsibilities, either implied or incurred, of any Player, Coach, Manager, Team Assistant, or Referee.

 

 

 

 

Section 2 – Liability Protection

 

All officers and directors of AIYSA, referees and official members of teams shall be covered against personal liability claims by the Association for performing acts and duties directly related to the work of AIYSA.

 

BYLAW IV – RESPONSIBILITES

 

Section 1 – Falsification of Records

 

Falsification of records shall be grounds for dismissal from the future participation and/or membership in AIYSA.

 

Section – 2 Pleas of Ignorance

 

A plea of ignorance to the AIYSA Constitution, By Laws, Policies, and State Rules is not sufficient and violators may expect appropriate action by the Board.

 

Section – 3 Violations

 

Any person found guilty of violating the AIYSA Constitution, By Laws, Policies or State Rules may be asked to appear before the Board in order to explain his/her action.

 

 

BYLAW V – NOMINATIONS AND ELECTIONS

 

Section – 1 The Board

The Board shall consist of thirteen (13) members in accordance with the Constitution, Article III, Section 3.

 

Section – 2 Terms and Qualifications of Offices

 

  1. President and Vice-President – These offices shall have the term of three (3) years.  To qualify for this office one must have at least 2 years of service on the Board, and reside in Anderson County or an adjoining county that does not offer recreational soccer affiliated with KYSA;

  2. The President Consultant shall be filled by the outgoing President for up to one year after the expiration of their presidential term.  This is a non-voting position on the Board.

  3. The other offices and directors shall have the term of three (3) years, the terms being staggered so that one third (1/3) of the Boards’ members term expires each year.  To qualify for this office one must reside in Anderson County and/or participate in the AIYSA organization;

  4. Pertaining to the board a term can be renewable twice provided there are no other qualified candidates for that position.  After three (3) elected terms or a period of time not to exceed nine (9) years served back to back to back a required one (1) year hiatus for that Board member is due.  The President is only renewable for 1 additional term or a period of time not to exceed six (6) years served back to back.  Subsequent to that year he/she can re-apply in the following election process.

  5. Vacancies in all Offices and Commissions shall be filled by appointment by the President, subject to ratification by the Board, until elections at the next general meeting; provided, however, that a vacancy in the Office of Presidency shall be filled as outlined in Article IV, Section 2b, of the Constitution.

  6. The terms officially start July 1st of the elected calendar year and lasts until the next election year for that position.

  7. The Board will acknowledge and accept any resignations at its next regular meeting. Any officer or director who resigns during a season, without notice or just cause will not be eligible to serve on the board again.

 

 

Section 3 – Nominating Committee

 

  1. The Vice-President will chair the Nominating Committee;

  2. Five (5) AIYSA members will be appointed by the Chairman of the Nominating Committee;

  3. Each committee member must have at least one child involved in AIYSA; and

  4. The committee is responsible for obtaining all information from the candidates to ensure those candidates meet the requirements or qualifications for the offices or commissions intended for running.

 

Section – 4 Nominations

 

  1. The President and Vice-president shall be elected by the majority of the Board members after the annual General Meeting and prior to the start of the official term date. 

                                               i.     The Presidential election will be on the odd year, and

                                             ii.     The Vice-Presidential election will be on the even year.

  1. Officers (not including the President and Vice-President) shall be elected by the majority vote of members at the Annual General Meeting

  2. Voting will be by written ballot at the Annual General Meeting and will be directed and monitored by the Vice-President and the Nominating Committee.

  1. No absentee voting will be allowed.  All eligible voters must be in attendance at the Annual General Meeting.
